Agreement to these terms
These Terms of Service govern your access to and use of Workform, including the website, demos, product interfaces, APIs, integrations, support, and related services.
By using Workform, creating a workspace, requesting access, or agreeing to an order form, you accept these terms on behalf of yourself and, where applicable, the company or organisation you represent.
Workform service
Workform is an operations platform for commerce teams. It is designed to support real workflows across products, orders, inventory, warehouse activity, shipping, pricing, procurement, accounting, storefronts, analytics, automation, and integrations.
Specific features, limits, support levels, pricing, and commercial terms may be set out in an order form, pricing page, proposal, or separate written agreement.
Customer data
You retain ownership of the data you submit to Workform. You grant Workform the rights needed to host, process, transmit, display, back up, secure, and otherwise use that data to provide the service.
You are responsible for the accuracy, legality, quality, and source of your customer data, including any data imported from marketplaces, carriers, storefronts, suppliers, accounting systems, or other connected platforms.
Acceptable use
You must use Workform lawfully and in a way that respects the platform, other customers, and connected services.
- Do not attempt to bypass security, access unauthorised data, disrupt the service, or test systems without permission.
- Do not upload malicious code, unlawful content, or data you do not have the right to process.
- Do not misuse APIs, automation, scraping, bulk actions, or integrations in a way that harms Workform or third-party platforms.
- Do not use Workform to support fraud, counterfeit goods, sanctions violations, illegal trade, or unsafe commercial activity.
Integrations and third-party services
Workform may connect to third-party services such as marketplaces, shipping carriers, storefronts, payment providers, accounting tools, analytics providers, and communication platforms.
Third-party services are governed by their own terms and policies. Workform is not responsible for third-party service availability, data accuracy, rule changes, API limits, outages, or decisions made by those services.
Fees and payment
Fees, billing frequency, usage limits, taxes, and payment terms are set out in the applicable order form, pricing page, invoice, or written agreement.
Unless agreed otherwise, fees are non-refundable once a billing period has started. Late payment may result in suspension or restriction of access after notice where appropriate.
Beta and preview features
Workform may offer beta, preview, experimental, or early-access features. These features may change, break, be removed, or have limited support.
Do not rely on beta features for critical operational workflows unless Workform has agreed in writing that they are production-ready for your use case.
Intellectual property
Workform and its technology, interfaces, workflows, designs, software, documentation, trademarks, and product names are owned by Workform or its licensors.
These terms do not transfer ownership of Workform intellectual property to you. You may use the service only as permitted by these terms and any applicable agreement.
Confidentiality
Each party may receive non-public business, technical, product, financial, or operational information from the other. The receiving party must protect confidential information with reasonable care and use it only for the relationship between the parties.
Service availability and changes
We aim to provide a reliable service, but Workform may be unavailable during maintenance, upgrades, incidents, third-party outages, or events outside our reasonable control.
We may improve, change, suspend, or discontinue parts of the service where needed. For material changes that negatively affect paid customers, we will give reasonable notice where practical.
Disclaimers
Except where expressly agreed in writing, Workform is provided on an as-is and as-available basis. We do not guarantee that the service will be uninterrupted, error-free, or suitable for every operational, financial, tax, legal, or compliance requirement.
You remain responsible for business decisions, regulatory compliance, tax treatment, marketplace compliance, carrier rules, product safety, and operational outcomes based on your use of Workform.
Liability
To the maximum extent permitted by law, Workform is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity.
Where liability cannot be excluded, it is limited to the amount paid for the service during the period set out in the applicable agreement, unless a different mandatory rule applies.
Suspension and termination
We may suspend or terminate access if there is a material breach, security risk, unlawful use, non-payment, abuse of the service, or legal requirement to do so.
You may stop using Workform or terminate under the terms of your order form or written agreement. After termination, access to the workspace may be disabled and data may be deleted after applicable retention periods.
Governing law
Unless another written agreement states otherwise, these terms are governed by the laws of England and Wales, and disputes are subject to the courts of England and Wales.
